    Job Summary

    Responsible for preparing, examining, managing, analyzing, negotiating and revising all types of contracts used throughout the company. Serves as the primary liaison between legal team and the business teams requiring a transaction to be memorialized in a contract.

    Major Tasks, Responsibilities and Key Accountabilities

    - Accurately create, modify, and negotiate contractual agreements between third parties and internal teams, maintaining alignment with departmental and corporate objectives.

    - Identify and advise internal teams of potential risks in contracts and propose strategies to minimize or eliminate them.

    - Collaborate with internal teams and stakeholders to resolve any potential issues related to contracts.

    - Review third party agreements and compare against the company's form contracts in order to identify major issues and ensure compliance with company policies and applicable laws and regulations.

    - Oversee contract modifications and amendments.

    - Develop or recommend updates for the company's contract templates, whether based on best practices or changes in laws or regulations.

    - Manage contracts within the company's contract management lifecycle (CLM) system and save documents in accordance with legal department processes.

    - Prepare and disseminate reports to appropriate management and employees regardng contract volume/status and facilitate contract meetings as needed.

    - Management or participation in special projects and department or company initiatives.

    - Assist with the interpretation of contract terms, conditions and requirements.

    Nature and Scope

    • Solutions require analysis and investigation.

    • Achieves planned results by decisions and actions based on professional methods, business principles, and practical experience.

    • Manages a group or team of professional individual contributors and/or indirectly supervises support staff.

    Work Environment

    • Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable.

    • Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles.

    • Typically requires overnight travel less than 10% of the time.

    Education and Experience

    • Typically requires BS/BA in a related discipline. Generally 7+ years of experience in a related field. May require certification. Advanced degree may offset less experience in some disciplines.

    Preferred Qualifications

    • A bachelor's degree plus 7+ years of experience as a contract administrator in a top law firm, corporation, or government agency.

    • Juris Doctor degree from an accredited law school preferred.

    • Proficiency in Microsoft Office, PDF, e-signature tools (DocuSign), and CLM (Ironclad), considered a strong plus.

    • Previous in-house experience preferred.
