    Job Summary

    Corporate Attorney specializing in Mergers & Acquisitions (M&A), Employment Law, Equity/Corporate Governance, or Contracts Management. Each attorney plays a key role ensuring legal and regulatory compliance, providing strategic counsel, and mitigating legal risks while supporting business objectives.

    Major Tasks, Responsibilities, and Key Accountabilities

    Corporate Attorney - Mergers & Acquisitions (M&A)

    • Leads legal due diligence, drafting, and negotiation for mergers, acquisitions, divestitures, and other strategic transactions

    • Collaborates with internal and external stakeholders to structure transactions and align them with corporate goals.

    • Advises on regulatory filings and ensures compliance with applicable laws and regulations. - Drafts and reviews complex agreements, including stock purchase agreements, asset purchase agreements, and other M&A related agreements.

    • Provides strategic insights to mitigate risks and identify value-driven opportunities. - Collaborates with other members of the legal team, and colleagues in other departments including tax and finance, to ensure the successful execution of M&A transactions.

    • Participates in negotiations and communicates effectively with counter parties to achieve favorable outcomes for the company.

    • Researches and maintains relevant knowledge of legal developments, industry trends and best practices in corporate M&A law; shares knowledge with senior leadership team.

    Corporate Attorney - Employment Law & Litigation

    • Advises on employment -related legal matters, including hiring practices, compensation, terminations and workplace policies.

    • Drafts, reviews, and updates employment contracts, confidentiality agreements, and handbooks to ensure compliance with labor laws.

    • Manages corporate litigation or disputes related to employment matters, including overseeing outside counsel as necessary.

    • Ensures compliance with federal, state, and local employment laws, including anti-discrimination and wage-and-hour regulations.

    Corporate Attorney - Equity & Corporate Governance

    • Advises on corporate governance matters, including board compliance, shareholder relations, and fiduciary duties.

    • Manages equity-related legal matters such as stock option plans, shareholder agreements, and capital raises.

    • Drafts and reviews governance documents, including bylaws, corporate resolutions and minutes.

    • Ensures compliance with securities laws and regulations, including reporting and disclosure obligations.

    • Provides guidance on investor relations and equity transactions, including private equity and public offerings.

    Corporate Attorney - Real Estate & Corporate Transactions

    • Oversees the drafting, negotiation, and execution of a wide range of contracts, including vendor, customer, service, and partnership agreements.

    • Establishes and maintains contract management systems to ensure efficiency and compliance.

    • Collaborates with procurement, sales, and other departments to align contract terms with business objectives.

    • Leads and manages a team of contract specialists or paralegals, providing mentorship, training and perform.

    Nature and Scope

    • Problems are typically defined by higher level leadership. Problems are difficult. Solutions require analysis and investigation.

    • Decides how to achieve planned results within an organization's plans, policies, and guidelines. May set or change plans/goals within respective department or area.

    • May manage department via multiple layers of managers OR directly supervise a staff of professional individual contributors at the senior or technical advisor level.

    Work Environment

    • Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable.

    • Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles.

    • Typically requires overnight travel less than 10% of the time.

    Education and Experience

    • Typically requires BS/BA in a related discipline. Generally 9+ years of experience in a related field, including several years in a management/supervisory capacity.

    Preferred Qualifications

    • J.D. from an accredited law school required.

    • Admission to the bar in the relevant jurisdiction.

    • 10+ years in related practice area (M&A) to include in-house and law firm experience.

    • Experience working in a team-oriented environment managing and mentoring legal staff.

    • Strong negotiation, drafting and analytical skills.

    • Exceptional communication and interpersonal skills.
